Terms of Service
In brief. Lendmates is a platform that connects people who want to rent, lend, sell or buy items. Contracts are agreed directly between users: we provide the platform, identity verification, and secure payment handling, but we are not a party to the agreement and we do not own the items.
1. Purpose and role of Lendmates
Lendmates S.r.l. ("Lendmates", "we"), con sede legale in Via Aldo Moro 13, Brescia (BS), codice fiscale e partita IVA 04808160982, runs a mobile app and a site that let registered users publish listings for renting, lending, selling and buying personal items between each other.
Lendmates acts as a provider of an information-society service: it provides the technical infrastructure, identity verification, and integration with payment and shipping services. Lendmates is not a party to the rental or sale agreement concluded between users. It is not the owner or holder of the items that are posted and does not pre-verify their status, quality, lawful origin, or compliance.
The negotiations, delivery, use and return of the items are under the sole responsibility of the users involved.
2. Account and requirements
- To use Lendmates, you must be at least 18 years old and have full legal capacity.
- You must provide accurate, complete and up-to-date information, and keep it that way.
- Before you can rent, lend, sell or buy, you must complete identity verification (KYC), which is also required under the anti-money laundering rules (D.Lgs. 231/2007 (anti-money laundering)).
- You may have only one personal account. You must not transfer, share or resell your account.
- You are responsible for keeping your credentials confidential and for everything that happens through your account.
- If you operate as a professional or business, you must select the "business" mode and your tax, administrative and consumer-protection obligations apply.
3. Listing rules
When you post a listing, you confirm that you legally have the item available and the right to rent it or sell it. Your listing must describe the item accurately, including its real condition and any defects, and it must use genuine photos of what you are actually offering.
You may not post, among other things:
- weapons, ammunition, explosives, illegal drugs or other dangerous substances;
- counterfeit goods or items that infringe intellectual property rights;
- items from unlawful sources, or items subject to restrictions that prevent their circulation;
- medicines, prescription medical devices, and unauthorised supplements;
- live animals, parts of protected animals, and perishable food;
- identity documents, credentials, or personal data of third parties;
- services, professional services, or intangible goods;
- vehicles subject to registration, when the transfer requires formalities that can't be handled in the app.
We may remove at any time listings that violate these terms, the law, or our community guidelines, without prior notice when the violation is obvious.
4. Renting: how it works
- The renter selects the available dates and sends the request; the owner can accept or decline it within the time window shown in the app.
- After acceptance, the rental amount and any deposit are authorised and held by the payment provider.
- Handover happens in person - confirmed via a QR code - or via tracked shipping.
- The payout is made available to the owner starting from the confirmed handover; the deposit stays on hold until the return is confirmed.
- On return (also confirmed via QR code or tracking), the deposit is released if no disputes have been reported within the time window shown in the app.
As the renter, you must take good care of the item, use it as intended, not pass it on to third parties, and return it on time and in the agreed condition. Late returns may lead to extra charges for additional days and, in the cases described, the deposit may be claimed.
5. Selling and buying
The buyer can send an offer to the seller, who can accept it, reject it, or make a counter-offer. The sales contract is concluded when the offer is accepted: only then does the buyer get charged.
The seller must ship the item within the time window shown in the app, using the prepaid label generated by the platform. The price is made available to the seller after confirmed delivery and after the verification period for the buyer ends.
When the seller acts as part of a professional activity, the consumer buyer benefits from the protections of the Codice del Consumo (Italian Consumer Code), including the right of withdrawal for 14 days. In private-to-private sales, this right does not apply.
6. Payments, service fees and deposits
All payments are processed by Trustap, a third-party provider specialised in transactions between private individuals. Lendmates never takes material possession of the funds and does not store payment card data.
- Funds stay in deposit with the provider and are released according to the rules described in articles 4 and 5.
- On each completed transaction, Lendmates applies a service fee. The amount is always shown clearly before you confirm the order.
- Fees charged directly by the payment provider are also shown during checkout.
- If a deposit is required, it is a held amount, not a payment. It is not cashed by the owner unless damage or a confirmed failure to return is established.
- Each user is solely responsible for the tax obligations resulting from their earnings on the platform.
7. Cancellations, withdrawal and returns
The cancellation terms for a rental booking are shown in the app at the time you make the request, and they vary depending on how far in advance you cancel. Repeated or late cancellations may affect your account reputation.
You can withdraw from the contract you entered into with Lendmates - that is, from registering for the service - at any time by deleting your account, as described on the page Delete your account. This does not affect transactions that are already in progress, which must be completed.
8. Damage and disputes
If there is damage, the item is not as described, a delivery does not happen, or the item is not returned, you must open a report in the app within the time window indicated, including photos and a description. Lendmates provides a mediation channel and may share the information you submitted with the payment provider. However, the decision on allocating held funds and on any deposit claims is made by the provider under its dispute-resolution rules.
Nothing limits the option for each user to take action in the competent forums against the other user.
9. Conduct and prohibited content
You may not use the platform for unlawful purposes, harass or discriminate other users, post offensive, defamatory or sexually explicit content, bypass the payment systems by arranging transactions outside the platform, publish false reviews or manipulate reputation, extract data with automated tools, or try to access other people's systems or accounts.
10. Limitation of liability
Within the limits allowed by law, Lendmates is not responsible for the quality, safety, legality or compliance of items posted on the platform; the accuracy of content provided by users; the fulfilment of obligations users assume towards each other; or damages caused by improper use of the rented or purchased items.
Lendmates works to keep the service available and secure, but it does not guarantee that there will be no interruptions or errors. Nothing in this clause limits Lendmates' liability for intent, gross negligence, personal injury, or non-waivable consumer protections.
11. Suspension and account closure
We can suspend or close an account if these terms or the law are breached, if there is fraudulent behaviour, or if there is a concrete risk to other users. Where possible, we will give notice and a reason. You can also challenge the decision by writing to support@lendmates.ai. Amounts legitimately earned and not disputed remain owed to you.
12. Governing law and jurisdiction
These terms are governed by Italian law. For disputes involving consumer users, the competent court is the place of the consumer's residence or domicile, if in Italy. The European Commission also provides an ODR (Online Dispute Resolution) platform. For non-consumer users, the competent court is exclusively the one for the registered office of Lendmates S.r.l.
13. Changes to these terms
We may change these terms for technical, regulatory or service-improvement reasons. Substantial changes will be communicated to you by email or in the app at least 15 days before they take effect. If you do not accept them, you can close your account before that date. Continued use of the service after the effective date counts as acceptance.
